Terms of Service

These Terms of Service ("Agreement") govern your access and use of the SimpleShare service ("Service") provided by Rambax, LLC ("we", "us", "our"). By using the Service, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, please do not use the Service.

We reserve the right to modify or update these Terms at any time. Your continued use of the Service after changes are posted constitutes your acceptance of the new Terms.

Article 1 - Formation of the Agreement

This Agreement is entered into between Rambax, LLC and any individual or entity using the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

Article 2 - Description of the Service

SimpleShare is a file transfer platform that enables users to send and receive files. The Service includes functionalities such as account registration, file uploads, and downloads, subject to any limits on file sizes, transfer volumes, storage duration, download counts, bandwidth usage, and other operational restrictions as published on our website or otherwise applied by us to protect the Service.

Article 3 - Responsibilities of Rambax, LLC

Rambax, LLC is committed to delivering the Service with reasonable care. However, we cannot guarantee that the Service will always be available, uninterrupted, or free from errors, and we are not liable for any loss or damage arising from your use of the Service beyond what is permitted by law.

We reserve the right to suspend, limit, disable, or terminate your access, transfers, downloads, or account if needed for maintenance, security, abuse prevention, legal compliance, excessive bandwidth or infrastructure usage, payment issues, or other operational reasons.

Article 4 - Customer Responsibilities

4.1 You confirm that you have the legal capacity and authority to enter into this Agreement. If you use the Service on behalf of a third party, you represent that you are duly authorized to act on their behalf.

4.2 You are solely responsible for all files you upload, transfer, or share via the Service. You must ensure that you have the necessary rights and permissions to use and distribute any content you provide. While you retain ownership of your content, you grant us a license to process and store it as required for the operation of the Service.

4.3 Only upload or share files that you own or for which you have been expressly authorized. Uploading unauthorized content may expose you to legal claims and result in the termination of your access.

4.4 You must not attempt to gain unauthorized access to any part of the Service or its underlying systems. Any attempt to access or retrieve information beyond what is intentionally provided is prohibited and may lead to suspension or termination of your account.

4.5 Any illegal or improper use of the Service—including activities such as fraud, computer crime, money laundering, or any act that compromises the security, integrity, or availability of the Service—will result in immediate termination of your access. We reserve the right to notify law enforcement as appropriate.

4.6 You agree to indemnify and hold harmless Rambax, LLC and its affiliates from any claims, losses, or damages arising from your use of the Service, including claims related to the actions of individuals with whom you share your access.

4.7 You are solely responsible for managing who receives your download links. Anyone with a download link can freely access the associated files, so you must exercise caution and fully understand the potential consequences of file sharing.

4.8 You agree to respect the intellectual property rights of Rambax, LLC and third parties. Unauthorized use or infringement of these rights may result in legal action.

4.9 Acceptable Use. You may not use the Service to upload, transmit, store, or distribute content that is illegal, infringing, abusive, or otherwise harmful. This includes but is not limited to copyrighted material you do not have permission to distribute, malware, viruses, malicious code, phishing material, or content intended to compromise the security of systems or individuals.

4.10 Abuse and Automated Access. You may not use bots, scripts, automated systems, or other technical means to generate excessive downloads, scrape the Service, bypass limits, create artificial traffic, or otherwise abuse bandwidth or infrastructure resources. We reserve the right to limit, throttle, suspend, disable, or terminate transfers, accounts, downloads, or access that create unreasonable load, cost, security exposure, or operational risk.

4.11 Content Moderation. Rambax, LLC reserves the right, but not the obligation, to remove files, disable transfers, or suspend accounts that violate these Terms, applicable laws, or create security or abuse risks.

4.12 No Expectation of Continuous Availability. You acknowledge that transfers, files, and download links may be subject to expiration, download caps, bandwidth limits, storage limits, abuse controls, and operational safeguards. We are not obligated to maintain any file, transfer, or link for any minimum period unless expressly stated in a paid plan.

4.13 Enforcement and Refusal of Service. We may, at our sole discretion and to the fullest extent permitted by law, refuse service, reject uploads, cancel transfers, restrict downloads, suspend accounts, or terminate access where we believe such action is necessary to protect the Service, comply with law, reduce risk, prevent abuse, or enforce these Terms.

Article 5 - Communications and Notifications

By registering for the Service, you consent to receiving email communications from Rambax, LLC regarding your account, service updates, and important notifications. We use third-party email delivery services to send these communications.

We may occasionally send you marketing emails related to our services. You may opt out of receiving such marketing emails by following the unsubscribe instructions included in each message. Please note that unsubscribing from marketing emails will not affect your ability to receive essential transactional or service-related emails.

The email address you provide during registration will be used solely for communications related to the Service and will not be sold or shared with third parties for their marketing purposes.

Article 6 - Disclaimers, Limitation of Liability, and Governing Law

The Service is provided on an "as is" and "as available" basis without any warranties, either express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, availability, uninterrupted operation, accuracy, or data retention. To the fullest extent permitted by law, Rambax, LLC will not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, files, transfers, revenue, profits, goodwill, or business opportunities arising from or related to your use of, or inability to use, the Service.

Without limiting the foregoing, we may set or enforce limits on transfer size, storage duration, number of transfers, download counts, bandwidth consumption, and other usage metrics at any time, with or without notice, especially where necessary to prevent abuse, control costs, preserve system stability, or comply with law.

This Agreement is governed by the laws of the State of California, USA. Any disputes arising from this Agreement shall be resolved through binding arbitration in California, unless legal action is required to enforce or protect your rights.

Article 7 - Copyright and DMCA Policy

Rambax, LLC respects the intellectual property rights of others and expects users of the Service to do the same. If you believe that material available through the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA).

A valid DMCA notice must include: identification of the copyrighted work claimed to have been infringed, identification of the material that is claimed to be infringing and sufficient information to locate it, your contact information, a statement of good faith belief that the use is not authorized, and a statement under penalty of perjury that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receiving a valid notice, we may remove or disable access to the allegedly infringing material, notify the affected user where appropriate, and may terminate accounts of repeat infringers. We reserve the right to remove or disable content alleged to be infringing at our discretion and to the fullest extent permitted by law.
